GENERAL PROVISIONS
These conditions apply to all orders & contracts & the supply of any goods by Oilswell Limited ("the company")
to the companys customers ("the customer") & no variation of these conditions is to have any effect unless accepted
in writing by the company.
These conditions amp; any contract made in accordance with them shall be be subject to & construed in accordance with English law.
HEALTH & SAFETY
All goods are supplied on condition that the direction & advice given by the company in Health & Safety sheets are stricly observed.
SPECIFICATION
If there are no special requirements stated in the customers order as to the use or quality to the fitness for any
purpose of goods required to be supplied then the order shall be deemed to be for goods appropiate for the uses and of
the quality and fit for the purposes as are indicated for goods of their description as appear in the companys specifications
which are available for the customer at the company offices and shall be deemed to be goods supplied without reference to any
sample. Any reccommendations or suggestions relating to the goods made by or on behalf of the company either in technical
literature or in response to a specific enquiry or otherwise are given in good faith but it is the sole responsibility of the
customer to satisfy itself as to the suitability of the goods for a particular purpose and the company shall have no
responsibilitywhatsoever to the customer for any damaged liability costs, claims or expenses suffered by the customer or any
third party through following such reccomendations.
The company poilicy is one of continuos improvement to its products and the company reserves the right to alter the
specifications of any goods without prior reference to the customer provided that such alteration does not reduce the standard
of the previous specification or conflict with the requirements of the customers order.
ACCEPTANCE
The goods are deemed to have been accepted by the customer when examined by it, or if not previously examined, when the
customer incooperates the goods in any manufacturing process or treats the goods as part of its stock in trade or when after
the lapse of a responsible time not exceeding 10 days (whichever first happens) he fails to notify the company in writing that he
has rejected them. If goods are not accepted then they shall be returned to the company at the risk and expense of the customer
within 14 days of delivery. The customer shall only be intitled to reject goods if upon examination they prove to be defective in
any material respect.
No claim for damage in transit, shortage of delivery or loss of goods will be accepted by the company unless, in the case of
damage in tranist or shortage of delivery, a seperate notice in writing is given to the carrier concerned and to the company within
10 days of the receipt of the goods followed by a completed claim in writing withn 14 days of receipt of the goods, and incase a loss
of goods, notice in writing is given to the carrier concerned and to the company and a complete claim in writing made within 28 days
of the date of consignment. Where goods are accepted from the carrier concerned without being checked the delivery book of the carrier
concerned must be signed "not examined".
The customer undertakes to provide satisfactory facilities to receive and if necessary store the goods and to copmply with all statutory
requirements and regulations in respect of such storage.
TIME FOR DELIVERY
The company shall not be liable if by any reason of any act of god, riots, strikes, lockouts, trade or labour disputes, accident,
brake down of plant or machinery, fire, flood, dificulty in obtaining workmen, materials or transport or any other curcumstances outside
the reasonable control of the company where the company are prevented from or delayed or hindered in making delivery of the goods or
any part there of at the time stated delivery.
PASSING OF RISK
Unless otherwise agreed by the parties in writing the risk in the goods shall pass to the customer on delivery to the address
specified by the customer.
PASSING OF PROPERTY
Property in the goods shall not pass to the customer and the full legal and benificial ownership of the goods shall remain
